These Terms of Use (“Terms of Use” or “User Terms”) are entered into and agreed to by Contraco Pty Ltd, a business registered in Australia (AUS), and the Group Companies (together, “Contraco” or “us”), and all users of the Contraco Site and Services (“Sites and Services”) as to govern the access and the use of those Site and Services. Among other things, these Terms of Use govern use of the Site.
When accessing your User Account for the first time, you will be given the opportunity to acknowledge and accept the General User Terms. In our ongoing efforts to adhere to applicable law and be transparent about our operations, we may make changes to these General User Terms. We will endeavour to advise you prior to any modifications which we reasonably consider may materially adversely affect you and you are encouraged to consult these Terms of Use periodically to be aware of those changes. Your use of our Contraco Sites and/or Services after such notice has posted constitutes your acceptance of the updated Terms of Use.
Eligibility
The Site and Services are intended solely for Users who are 18 years of age or older and have the requisite legal and mental capacity in accordance with applicable laws. Any access to or use of the Site or Services by anyone under 18 is expressly prohibited. By accessing or using the Site or Services you represent and warrant that you are 18 years of age or older and you have the requisite mental or legal capacity.
Membership Registration – User Account
To the extent our Site and Services require a User Account: When creating a Membership (User Account), you agree to: (i) provide and keep current accurate and complete information about yourself or your company; (ii) maintain the confidentiality of your User Account and log-in credentials, if applicable; and (iii) restrict access to your User Account to all others.

You agree to accept responsibility for use of our Sites and all activities that occur under your User Account (except where our negligence has directly caused another person to use your Account without your authority). We are entitled to treat all uses of our Sites that occur under your User Account as having been conducted with your knowledge and authority. If we have reasonable grounds to suspect that the information you provide is inaccurate, incomplete or impersonates another person, we reserve the right to issue notice of such violation and as necessary suspend or terminate your User Account. All Personal Information will be stored and used in accordance with our Privacy Policy. Our Privacy Policy is incorporated by this reference into these Terms of Use.
Membership
Your Contraco membership will continue until terminated. To use Contraco you must have Internet access and a Contraco ready device and provide us with a current and valid payment method. Unless you cancel your membership before your billing date, you authorise us to charge the membership fee for the next billing cycle to your payment method (See “Cancellation” below).

We may offer multiple membership packages, including special promotional packages or memberships offered by third parties in conjunction with the provision of their own products and services. We are not responsible for the products and services provided by such third parties.

Disclaimer
Contraco does not accept responsibility for loss or damage suffered directly or indirectly on any information contained within this website. By accessing this website, you agree that Contraco will not be liable for any inaccuracies or omissions or any direct, special, indirect or consequential damages or losses or any other damages or losses whatsoever kind resulting from whatever cause through the use of information obtained either directly or indirectly through Contraco’s website. Any decisions based on such information are the sole responsibility of the visitor.
Links to third-party websites
Contraco has no control over, and assumes no responsibility for, the content, privacy policies, or practices of any third-party websites or services. Although the information herein has been derived from sources believed to be reliable, Contraco makes no representations, expressed or implied, as to the accuracy, currency or completeness of the information.
You further acknowledge and agree that Contraco shall not be responsible or liable, directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with use of or reliance on any such content, goods or services available on or through any such websites or services. We strongly advise you to read the terms and conditions and privacy policies of any third-party web sites or services that you visit.
Free Trial
Your Contraco membership may start with a free trial. The duration of your free trial period will be specified during your account creation.

Free trial eligibility is determined by Contraco at its sole discretion and we may limit eligibility or duration to prevent abuse of the free trial. We reserve the right to revoke the free trial and put your account on hold.

We will charge the membership fee for the next billing cycle to your Payment Method at the end of the free trial period unless you cancel your membership prior to the end of the free trial period.
Modification to Terms of Use
We may modify or amend these Terms of Use from time to time at our discretion. When we make changes to these Terms of Use, we will amend the effective date and the modified or amended Terms of Use will apply to you as of that effective date. We encourage you to review these Terms of Use periodically to stay informed. If we amend these terms and you do not agree to the new terms, you must immediately cease using our Sites and/or Services.
Confidentiality Non-Disclosure Agreement
Contraco has developed certain technology and or a business management process system (the “Technology”).

Contraco may disclose certain information (which may include trade secrets and/or patent-able inventions) relating to the Technology and its business methods and activities (“Confidential Information”) to the User for the purpose of selling or offering a license agreement or ongoing contract for the use of the system and consultancy services. (the “Purpose”).

In consideration of disclosing Confidential Information to it, the User agrees to hold in confidence all such Confidential Information and not to disclose it to any third party or use it for any purpose other than the Purpose without the prior written consent of Contraco.
The obligations of confidence do not apply to such of the Confidential Information that is or becomes generally and publicly available other than by reason of a breach of this agreement by the User.

Where there is any doubt that any Confidential Information is generally and publicly available, the User must treat that Confidential Information as confidential until notified otherwise in writing by Contraco. All Confidential Information remains the property of Contraco and must be returned on request to Contraco by the User. The User must comply with any request of Contraco to destroy any or all of the Confidential Information and, if requested, provide evidence acceptable to Contraco of its destruction.

All intellectual property created in relation to the Confidential Information by the User is the property of Contraco and forms part of the Confidential Information. Nothing in this agreement grants the User and or any of its staff, any rights to the Confidential Information or the Technology beyond those expressly granted herein.

The User will take all reasonable steps to minimise the risk of disclosure of the Confidential Information by ensuring that only employees, agents or sub-contractors whose duties require them to possess that Confidential Information will have access thereto and such employees, agents or sub-contractors will be instructed by the User to treat the same as confidential.

The user must, if required by Contraco, procure the execution by any of the parties referred to in paragraph 8 of a confidentiality undertaking on materially the same terms as this agreement. If the User is in default under this agreement it will indemnify Contraco against any liability or loss including reasonable legal fees and other costs arising from any such default.

Each provision of this agreement is severable from the others and no severance of a provision will affect any other provision.
This agreement is governed by the laws of the Australian Capital Territory (ACT), NSW, QLD, SA, VIC, WA, Tasmania, NT and any other state of Australia.
Execution: Executed as an AGREEMENT in the Australian Capital Territory (ACT) and in NSW, QLD, SA, VIC, WA, Tas, NT and any other state of the Commonwealth of Australia.
Software as a Service (SaaS) Agreement
The service rendered by Contraco Pty/Ltd will provide the User with a mechanism and response matrix to assist in the governance, compliance and management of a contract or sub-contract.

The system will be delivered to the User using a highly secure AWS Cloud Server, a platform provided by Dash Pivot.
​
The mechanism of file and folder sharing is carried out on a computerised or mobile application.
​
Contraco in conjunction with Dash Pivot provide the platform which delivers the system, internally, the end user and other registered users.
Contraco will manage the license agreement on behalf of the User in good faith and in the best interest of the User in all commercial matters.
Customised documentation can be created specific to a trade within limitation and may be subject to additional charges.

The User must set up and enable individuals to receive emails on the relevant employees’ Mobile phones - this along with internet access is a minimum requirement to run the application.
